Welcome to Institute of Early childhood Education Development (IECED) academic partner with Founding Years Learning Solutions Pvt Ltd (FYLS), here in after referred to as IECED, KLAY preschool and Daycare or Licensor (“Institute of Early childhood Education Development”,”Founding Years Learning Solutions Private Limited “, “KLAY Preschool & Daycare”, “we”, “us”, the “Company” and terms of similar meaning). The site, courses, and services are , collectively, referred to as the “Company Products/Products/Services .
We are excited to have you as a user and member of the community. Provides this web site and the services provided by or through this web site to you subject to these terms and conditions of use, including any content, functionality and services offered on or via these web sites and any successor web sites or related applications (together, the “Website”).
These Terms shall apply to IECED hosted WhatsApp groups, Facebook groups, Instagram pages, Facebook pages, email/SMS/phone communications and other social media forums hosted by IECED, which shall be deemed to be part of the ‘Platform’ by reference. You acknowledge that certain parts of the Platform, as mentioned above, are provided by third-party service providers, and you agree to abide by their terms and conditions. IECED shall not be responsible for any disruption of services caused by such third-party service providers.
Please note that the use of the Platform and Programs constitutes an unconditional agreement to follow and be bound by the Terms. Although you may “bookmark” a particular portion of the Platform and thereby bypass these Terms, your use of the Platform still binds you to these Terms.
IECED reserves the right to modify these terms at any time without advance notice. Any changes to these TOU will be effective immediately upon posting on this page, with an updated effective date. You should review this page regularly. By accessing the IECED Site after any changes have been made, you signify your agreement on a prospective basis to the modified TOU and all of the changes. Be sure to return to this page periodically to ensure familiarity with the most current version of these TOU.
IECED makes no representations that the Platform operates (or is legally permitted to operate) in all geographic areas, or that the Platform, or information, services or products offered through the Platform are appropriate or available for use in other locations. Accessing the Platform from territories where the Platform, or any content or functionality of the Platform or its portions thereof is illegal, is expressly prohibited. If you choose to access the Platform, you agree and acknowledge that you do so on your own initiative and at your own risk and that you are solely responsible for compliance with all applicable laws.
User Contributions and Content Guidelines
Whether you have enrolled in a Program or are simply browsing the Platform, once you have accessed the Platform or Programs, you shall be considered a ‘user’ for the purpose of these Terms. You are responsible for all your activities in connection with the use of the Platform and Programs.
You agree that you are responsible for your own use of the IECED Site and for your User Postings. “User Postings” means all content submitted, posted, published, or distributed on the IECED Site or business partner products, by you or other users of the IECED Site, including but not limited to all forum posts, wiki edits, notes, questions, comments, videos, and file uploads.
You agree that you will never divulge or share access to your User Account with any third party for any reason. You also agree that you will create, use and/or access only one User Account, and that you will not use any User Account other than your own
You won’t post, submit, transfer, disseminate, or generally transmit or make accessible any product or other PC records that contain an infection or other hurtful segment, or generally debilitate or harm the Website/App and/or Product or any associated organize, or generally interfere with any individual or substance’s utilization or delight in the Website/App/ChatBot and/or Product.
You will not engage in any form of antisocial, disrupting, or destructive acts, including “flaming”, “spamming”, “flooding”, “trolling” and “phishing” as those terms are commonly understood and used on the Internet.
For purposes of these Terms of Service, the term “Content” includes, without limitation, information, data, text, photographs, videos, audio clips, written posts and comments, software, scripts, graphics, and interactive features generated, provided, or otherwise made accessible on or through the Website/APP/ChatBot. For the purposes of these Terms of Service, “Content” also includes all User Content (as defined below).
All Content added, created, uploaded, submitted, distributed, or posted to the Website or by the Website/APP/Chatbot by users (collectively “User Content”), whether publicly posted or privately transmitted, is the sole responsibility of the person who originated such User Content. You represent that all User Content provided by you is in compliance with all applicable laws, rules and regulations. You acknowledge that all Content, including User Content, accessed by you using the Website/App is at your own risk.
The Website may contain Content specifically provided by us, our partners or our users and such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. You shall abide by and maintain all copyright notices, information, and restrictions contained in any Content accessed through the Website.
Any information or content publicly posted or privately transmitted through the Products is the sole responsibility of the person from whom such content originated, and you access all such information and content at your own risk, and we aren’t liable for any errors or omissions in that information or content or for any damages or loss you might suffer in connection with it. We cannot control and have no duty to take any action regarding how you may interpret and use the Content or what actions you may take as a result of having been exposed to the Content, and you hereby release us from all liability for you having acquired or not acquired Content through the Product. We can’t guarantee the identity of any users with whom you interact in using the Product and are not responsible for which users gain access to the Products
Your interactions with organizations and/or individuals found on or through the Product, including payment and delivery of goods or Product, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. You agree that IECED shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.
Your use of the Product is subject to the following additional restrictions:
You represent, warrant, and agree that you will not contribute any Content or User Submission (each of those terms is defined below) or otherwise use the Product or interact with the Product in a manner that:
Infringes or violates the intellectual property rights or any other rights of anyone else (including IECED);
Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
Jeopardizes the security of your IECED account or anyone else’s;
Attempts, in any manner, to obtain the password, account, or other security information from any other user or copy & store any significant portion of the content;
Violates the security of any computer network, or cracks any passwords or security encryption codes. Or run any processes that run or are activated while you are not logged into the Product, or that otherwise interfere with the proper working of the Product;
“Crawls,” “scrapes,” or “spiders” any page, data, or portion of or relating to the Product or Content (through use of manual or automated means);
Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Product.
A violation of any of the foregoing is grounds for termination of your right to use or access the Products.
You acknowledge and agree that IECED has the right to report any and all suspicious or illegal activity to the appropriate legal or police authorities without notice to you.
User Accounts, User Registration and Delivery of Services
In order to participate in most Platform activities and to apply for a Program, you will need to register for a personal account (“User Account”) by providing an email address and a password that is unique.
Upon payment of the Course/Program fees – in part or whole, depending on the Program – IECED shall deliver the terms of use of the Course/Program and grant you access to the Course/Program. The invoice may be provided to you along with the email confirmation or after receiving the entire amount. This shall be proof of delivery against the successful payment of fees.
Owing to certain exceptional circumstances, if IECED has granted you access to a Program pending payment, and IECED does not receive payments within the stipulated time periods, IECED may, at its owns discretion, withdraw your access to the Program without giving any prior notice.
You agree that you will never divulge or share access to your User Account with any third party for any reason. You also agree that you will create, use and/or access only one User Account, and that you will not use any User Account other than your own.
In setting up your User Account, you may be prompted or required to enter additional information, including but not limited to your name and email address. Additional information may be required to confirm your identity. You understand and agree that all information provided by you is accurate, current and complete and that you will maintain and update your information to keep it accurate, current and complete. You acknowledge that if any information provided by you is untrue, inaccurate, not current or incomplete, we reserve the right to terminate your use of the Platform and your enrolment into a Program, to the extent applicable.
In addition to the registration process, as part of your use of the Platform or participation in the Programs, we may obtain certain information about you and your performance in the Programs. Some of this information may be Personally Identifiable Information. We may use, maintain and store this information to provide certain services to you now and in the future, and may share such information with our Educational Partners or third parties in conjunction with such services or for the purpose of marketing. For example, as further detailed in our Privacy Policy, we may share certain materials or information about you with third parties, including your grades/scores in our classes.
Access to the Programs is restricted to attendees or students who have specifically been granted access by IECED.
By registering your User Account, you agree that:
you are registered for the Program only once and will not set up multiple User Accounts; and
you will abide by these Terms and any terms specific to the Program.
Additional requirements apply to Students. As a Student, in addition to the points above, you agree that you are registering with the intent to complete the assignments, if any, that are relevant and applicable to the Platform or Course/Programs into which you have enrolled.
Payment Policy
Please read and understand the following Payment Terms & Conditions very carefully. By Signing below, you understand and accept the terms and conditions set forth herein:
Refund for Certificate Program(Recorded)
We offer users a (1)-day, Full money back guarantee on all recorded certificate program.
The refund should be claimed with-in (1)-day (23:59:00 hours from the time of registration) of registration.
No such requests will be considered after (1)-day.
Terms for (1)-Day, Full refund policy stands null in following scenarios:
Any Kind of content is downloaded from IECED or any business partner website.
If you watch more than 2 modules/session/class recording from IECED/FYLS platform.
If we that you are abusing our refund policy, it will be our sole discretion to suspend or terminate your account and restrict or refuse any and all kind of current or future use of company products, without any liabilities to you.
Refund Policy for Certificate Program (LIVE/Offline) and Diploma Program
Non-Refundable Fee
The refund policy terms mentioned here do not apply for Diploma Programs in any of the course fall under the diploma program category.
Kindly note that course fee once paid will not be refunded under any circumstances unless the course is discontinued for some reason by IECED. If the candidate is unable to complete the course for any particular reason, then the course fee will be forfeited. For more info kindly check with our team on admin.academy@klayschools.com.
Cancellation
Registration of course after payment of fees is not allowed. The payment can rather be considered non‐refundable and the decision of the project organizer/Manager/Training head to be held final.
Instalment Payment
In case of delay in making the Instalment payment by the due date there might be some temporary interruption in the course access, however, the access will be restored immediately after receiving the Instalment payment from your end. The candidate will not be provided with any extra time for loss of time due to the delay in making the Instalment payment on time
Batch Shift
There are limited seats (Batch-Shift-Quota) available in any live-online or offline classes for learners availing batch shift option. IECED may not able to accommodate certain batch shift requests in case of unavailability of seats or without notice of any circumstances in batch shift quota. In such cases, IECED will recommend other options to join other batches where seats are available.
Security and Use of Info
IECED does not store any of your credit card information or such other information restricted by the Reserve Bank of India (RBI) for processing payment and has partnered with payment gateways for the payment towards the services. By using a third-party payment provider, you agree to abide by the terms of such a payment provider. You agree that in case IECED third-party payment provider stores any such information, IECED will not be responsible for such storage, and it will be solely at your discretion to allow the third party to store such information. Any loss of such information or any loss incurred by you due to the usage of such information will be solely a loss incurred by you, and IECED is in no way liable for any such losses and is neither responsible to reimburse / make good such losses in any manner whatsoever. You also agree to pay the applicable fees for the payments made through the Platform.
Failure to pay may result in withdrawal of your access to a Program.
you are registered for the Program only once and will not set up multiple User Accounts.
Change of Terms
Company reserves the absolute rights to revise these terms without prior notice to you other than by posting terms on the websites.
Post (1)-day, further EMI’s won’t be cancelled in case of RazorPay EMI.
To request a refund or any payment related issue/query, please contact our team from IECED login under support/contact section.
Learners can’t avail Batch shift / Swap facility option once registered for any program from IECED/FYLS platform.
Law & Copyright Infringement
The information displayed in any form or available on or through the Product, including, but not limited to, text, graphics, data, videos, exams, assignments, quiz, articles, photos, images, illustrations, User Submissions and so forth (all of the foregoing, the “Content”) are protected by copyright and/or other intellectual property laws. You promise to abide by all copyright notices, trademark rules, information, and restrictions contained in any content you access through the Product, and you won’t use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purpose any Content not owned by you, (i) without the prior consent of the owner of that Content or (ii) in a way that violates someone else’s (including IECED and FYLS) rights. You understand that IECED owns the Product. You won’t modify, publish, transmit, participate in the transfer or sale of, reproduce (except as expressly provided in this Section), create derivative works based on, or otherwise exploit any of the Product. The Product may allow you to copy or download certain Content; please remember that just because this functionality exists, doesn’t mean that all the restrictions above don’t apply; they do!
Use of IECED Courses
IECED reserves the right to cancel or reschedule any Program or live lectures/webinars, or to alter, modify or rearrange the schedule of topics, as well as the point value or weight of assignments, tests, quiz, exams, projects and other such evaluations of progress. You also understand that IECED, at its sole discretion, may limit, suspend, or terminate your use of the Platform or Programs and/or all IECED-provided services related to the Programs, such as access to IECED trainers or support services, evaluation services, or certifications. You also understand that IECED may modify or discontinue all services related to its Programs at its sole discretion. You agree that IECED shall not be liable to you or to any third party for any such modification, suspension or discontinuance. Nothing in these Terms shall be construed to obligate IECED to maintain and support the Platform or Programs or any part or portion thereof or any associated services.
If you no longer wish to use any Program, you may terminate your participation by giving notice to IECED.
Participants of IECED online live lectures and webinars shall be provided access to such classes via email. You agree not to share such access with any third party. If you are unable to attend an online live lecture/webinar, please provide IECED with prior intimation regarding this.
You shall be exclusively responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access, receive or use the Platform, including, without limitation, hardware devices, software, and other internet, wireless, broadband, phone or other mobile communication device connection services. You shall be exclusively responsible for ensuring that such equipment or ancillary services are compatible with the Platform, and you shall be responsible for all charges incurred in connection with the use of the Platform and Program in connection with all such equipment and ancillary services.
What if I want to stop using IECED?
You’re free to do that at any time, please refer to our privacy policy, as well as the licenses above, to understand how we treat information you provide to us after you have stopped using our Product.
If you paid any fees, then refer to out Payment Refund Policy.
IECED is also free to terminate (or suspend access to) your use of the Product/Website or your account, for any reason in our discretion, including your breach of these Terms. IECED has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms.
Account termination may result in destruction of any Content associated with your account, so keep that in mind before you decide to terminate your account. We will try to provide advance notice to you prior to our terminating your account so that you are able to retrieve any important User Submissions you may have stored in your account (to the extent allowed by law and these Terms), but we may not do so if we determine it would be impractical, illegal, not in the interest of someone’s safety or security, or otherwise harmful to the rights or property of IECED.
If you have deleted your account by mistake, contact us immediately at admin.academy@klayschools.comwe will try to help, but unfortunately, we can’t promise that we can recover or restore anything.
Provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, any terms regarding ownership of intellectual property rights, and terms regarding disputes between us
Terms & Conditions
INDEMNIFICATION
You agree to indemnify and hold harmless IECED, its affiliates, officers, directors, employees, consultants, licensors, agents, and representatives from any and all third party claims, losses, liability, damages, and/or costs (including reasonable lawyer fees and costs) arising from your access to or use of Product, violation of these Terms of Use, or infringement, or infringement by any other user of his/her/its account, of any intellectual property or other right of any person or entity.
LIMITATION OF LIABILITY
In no event, shall IECED, or any of its directors, officers, employees, agents or content or service providers (collectively, the “Protected Entities”) be liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages arising from, or directly or indirectly related to, the use of, or the inability to use the Website or the App or the content, materials and functions related thereto, the Product, user’s provision of information via the Website, lost business, even if such Protected Entity has been advised of the possibility of such damages.
In no event shall the total aggregate liability of the Protected Entities to a user for all damages, losses, and causes of action (whether in contract or tort, including, but not limited to, negligence or otherwise) arising from these Terms of Use or a user’s use of the Product or the Product exceed the total price actually paid by such user for booking/reserving an Accommodation through the Website/App.
INTELLECTUAL PROPERTY RIGHTS
“Content” means any and all information and data, which may include but not be limited to text, software, scripts, graphics, maps, photos, sounds, music, videos, logos, offers, advertisements, interactive features and other materials.
All rights to the Product, its contents and Documentation provided therewith, including title, ownership rights and Intellectual Property Rights therein shall remain the sole and exclusive property of the Licensor. Licensee shall not own any Intellectual Property Rights with respect to the Product, customization, training material and accompanying Documentation, including Licensor’s confidential information under this Agreement. Licensee shall own all Intellectual Property Rights with respect to data and other relevant information provided by Licensee.
Notwithstanding anything contained in this Agreement or otherwise, nothing in this Agreement shall be construed as a transfer in the Intellectual Property Rights of the Licensor to the Licensee.
The Licensee shall not use the Intellectual Property Rights of the Licensor without the prior written consent of the Licensor. Contravention of this provision shall be construed as a material breach of this Agreement.
IECED logos, trademarks and service marks that may appear on the Platform and in the Program (“IECED Marks”) are the property of IECED and are protected under Indian and foreign laws. All other trademarks, service marks and logos used on the Platforms, Online Courses or Programs, with or without attribution, are the trademarks, service marks or logos of their respective owners. In addition, elements of the Platforms are protected by traders and other Indian and international intellectual property laws and may not be copied, reproduced, downloaded or distributed in any way in whole or in part without the express written consent of IECED.
As a condition of accessing the Platforms and/or using the Programs, you agree not to (a) reproduce, duplicate, copy, sell, resell or exploit for any commercial purpose any IECED Content or any portion of it thereof, other than as expressly allowed under these Terms; and (b) use the IECED Marks or the name, trademarks, service marks, or other materials of any Educational Partner in connection with, or to transmit, any unsolicited communications or emails or for any other unauthorised purpose.
Please verify all Content prior to use. In the event you come across any Content that is incorrect, infringing, offensive, indecent or objectionable, please notify us immediately at the address mentioned at the bottom of this page.
Additionally, from time to time, IECED (or its third-party service providers, on behalf of IECED) may request users to review IECED Content or beta-test the Platform. The works derived from such activity shall remain the sole and exclusive property of IECED or its third-party service providers, as applicable
DISCLAIMER OF WARRANTIES
Licensee hereby expressly agrees and acknowledges that, except as provided in this Agreement, the Product is provided “as is” and “as available” without any representations, conditions, warranties or covenants whatsoever with respect to the Product, including without limitation, any express, statutory or implied representations, warranties or conditions of merchantability, merchantable quality, satisfactory quality or fitness for a particular purpose, or arising otherwise in law or from a course of dealing or usage of trade, all of which are expressly disclaimed and excluded. The Licensor does not warrant that the Product shall be error free or will perform in an uninterrupted manner.
GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed under the laws of India. Subject to arbitration clause above, any dispute arising out of or in relation to this Agreement shall be submitted to the sole jurisdiction of the courts of law at Bengaluru, India.
FORCE MAJEURE
Without limiting the foregoing, under no circumstances shall Licensor be held liable for any damage or loss due to deficiency in performance of the Product resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, internet failures, computer equipment failures, telecommunication equipment failures, power failures, internet outage, or any other government regulations, floods, storms, electrical failure, civil disturbances, riots, etc.
ASSIGNMENT
The Licensor shall assign this Agreement and its rights and obligations hereunder in whole, but not in part, to any corporation or other entity with or into which the Company may hereafter merge or consolidate or to which the Company may transfer all or substantially all of its assets, if in any such case said corporation or other entity shall by operation of law or expressly in writing assume all obligations of the Company hereunder as fully as if it had been originally made a party hereto; the Company may not otherwise assign this Agreement or its rights and obligations hereunder.
SEVERABLILITY
The provisions of this Agreement shall be deemed severable, and the invalidity or unenforceability of any provision (or part thereof) of this Agreement shall in no way affect the validity or enforceability of any other provision (or remaining part thereof).
WAIVER
No delay or failure of either Party in exercising any right and no partial or single exercise of any right shall be deemed to constitute a waiver of that right or any other rights under this agreement
AMENDMENT
This Agreement cannot be altered, or modified except by a written agreement or addendum duly signed by authorized representatives of the Parties.
ENTIRE AGREEMENT
This Agreement contains the entire agreement and understandings by and between the Parties with respect to the covenants herein described, and no representations, promises, agreements or understandings, written or oral, not herein contained shall be of any force or effect.
THIRD PARTY LINKS
The Website or the App may contain links belonging to third parties and the user acknowledges that IECED does not endorse any of these third party links or the Product or goods provided by way of these links. IECED will not be liable for the nature of the content provided on any of these third party links or the privacy practices followed by these third parties. IECED does not provide any warranty with regard to the materials posted on such third party websites or the Product offered by them and disclaims all responsibility for the quality of the Product offered by any of these linked sites.
THIRD PARTY CONTROL
The flow of data over the internet depends in large part on the performance of connections and Product provided by third parties. Failure of such third parties to perform their Product correctly can disrupt internet sessions, thereby interrupting the Product. IECED cannot guarantee such events will not occur, and disclaims any and all liability, claims or losses resulting from or relating to such events.
CONFIDENTIALITY
The Licensor shall keep all information including documentation, methods, processes, data of the Users shared with respect to the Agreement as Proprietary of the Licensee and treat the same as confidential and shall not disclose such information to any third party, except, disclose pertinent aspects of the Agreement to government and / or regulatory authorities, as required by law.
Licensor shall not disclose, provide or otherwise make available the Product to any person other than the employees of Licensor whose use of or access to the Product is necessary to the continuity of the Product under this agreement.
ONGOING, GRADUATED and ARCHIVED DATA
All the Data is stored on the cloud (AWS by Amazon and/or any other third party service provider/vendor) and is governed by the policies of the cloud provider.
Graduation and Archival Data Store is a complimentary feature offered by the Licensor currently and can be made a premium/paid feature in future to bear the costs of maintaining the same on the cloud storage.
Data deletion by the Licensee or its authorized users is permanent in nature and it can’t be restored.
PRODUCT ENHANCEMENT and WHITE LABELING
In the event that the Licensor launches new updates in the App store / Play store i.e., new features on top of existing system, Licensee may subscribe to such upgrades at an additional fee as intimated by the licensor from time to time.
White labelling of only app for parents can be done and it will differ from the ‘KLAY for Parents’ app only in terms of the Splash screen, App Primary Colour and Login Screen.
Wherever Licensor agreed to white-label the app for parents, it is subject to approval by the Play store / App store either during a new release or subsequent upgrade version release.
Licensor is not liable to refund any cost incurred and collected from the Licensee for white labelling and also can’t not be held responsible in that eventuality.
Any customization of features by the Licensor for a Licensee is chargeable and is decided by the Licensor and agreed by the Licensee.
Miscellaneous Provisions
By accepting the Terms through your use of the Platform, you certify that you are 18 years of age or older. If you are under the age of 18 or under the legal age in your jurisdiction to enter into a binding contract, you may use the Platform only under the supervision of a parent or legal guardian who agrees to be bound by the Terms. If you are a parent or legal guardian agreeing to the Terms for the benefit of a child below 18, be advised that you are fully responsible for his/her use of the Platform, including all financial charges and legal liability that he/she may incur. By using the Platform, you represent and warrant that you have the right, authority, and capacity to enter into the Terms and to abide by all of the terms and conditions set forth herein. The Programs are not for the use of individuals under the age of 18 years.
IECED may freely transfer or assign any portion of its rights or delegate its obligations under these Terms or any Program specific terms. You shall not transfer or assign, by operation of law or otherwise, any portion of your rights or delegate your obligations under these Terms or any Program-specific terms without the prior written consent of IECED.
These Terms or any Program-specific terms shared with you shall be governed by, construed and enforced in accordance with the laws in India, as these are applied to agreements entered into and to be performed entirely within India and without giving effect to any principles of conflict of laws. You agree that any legal lawsuit or other action brought by IECED, you or any third party to enforce these Terms or any Program-specific terms shared with you, or in connection with any matters related to the Platform or Programs, shall be subject only to the jurisdiction of the courts of Mumbai. Where a dispute arises, the parties involved shall make all reasonable efforts to resolve the dispute through good faith negotiations. If efforts to amicably resolve any dispute or claim between the parties are unsuccessful, then such dispute or claim arising out of or in connection with the Terms or any Program-specific terms shared with you, including any question regarding its existence, validity or termination, shall be referred to arbitration under the Arbitration and Conciliation Act, 1956, as amended (“Act”) before a sole arbitrator to be appointed by IECED. The proceedings shall be conducted in English and the seat for arbitration shall be Mumbai.
If any provision of the Terms or any Program-specific terms shared with you is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the other provisions herein, and shall not affect the validity and enforceability of any remaining provisions. IECED shall have no liability under these Terms or any Program-specific terms shared with you, to the extent arising from any failure of IECED to perform any of its obligations under these Terms or any Program-specific terms shared with you, due to any fire, flood, earthquakes, other acts of God, war, civil unrest, terrorism, Internet failures, governmental act or court order, national emergency, strikes or labour disputes or any other event not within IECED ‘s reasonable control. IECED shall not be responsible for damage or other problems caused by any unauthorised change to these Terms made by way of hacking or cracking this page.
The failure of IECED to exercise or enforce any right or provision of the Terms or any Program-specific terms shared with you, shall not constitute a waiver of such right or provision. If any provision of the Terms or any Program-specific terms shared with you is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, to the extent that may lawfully be done, and the other provisions of these Terms or any Program-specific terms shared with you, shall remain in full force and effect.
These Terms or any Program-specific terms shared with you constitute the entire agreement between you and IECED relating to the matters set forth herein, and shall not be modified except in writing, as posted on the Platforms by IECED or through a specific writing between you and IECED.
IECED may freely transfer or assign any portion of its rights or delegate its obligations under the Terms or any Program-specific terms shared with you. You may not transfer or assign, by operation of law or otherwise, any portion of your rights or delegate your obligations under the Terms or any Program-specific terms shared with you, without the prior written consent of IECED, and any such attempted transfer or assignment shall be void and of no effect.
